[Alpha Biz=(Chicago) Reporter Kim Jisun] DB HiTek, a company specializing in system semiconductors, confirmed on the 29th that it will spin off its fabless (semiconductor design) division.
As a result, DB HiTek has set the stage for being reborn as a 'pure foundry (semiconductor consignment production)' centered on high-yield power semiconductors. Some expect that the company will be able to expand its customer base by resolving much of the conflict of interest that arises when it combines foundry and fabless businesses.
DB HiTek held a regular shareholders' meeting at its headquarters in Bucheon, Gyeonggi Province earlier in the day and received approval from shareholders for the articles of association, including the physical division.
The split of the company is a special resolution at the general shareholders' meeting. In order to pass, the consent of at least 1/3 of the total number of issued shares and at least 2/3 of the shareholders present shall be obtained.
DB HiTek will remain a surviving company as a material division and the fabless division will be in charge of semiconductor design business under the name of 'DB fabless' (tentative name).
Split off is a form in which DB HiTek holds a 100% stake in DB fabless. The date of division is May 2nd. DB HiTek, whose physical division has already been canceled last year due to strong opposition from minority shareholders, has also prepared a kind of "safety device" for the rights and interests of ordinary shareholders on the condition that it will not list the new corporation for the next five years.
