KakaoBank to Replace Two Board Members and Increase Outside Directors at Upcoming AGM

[Alpha Biz= Paul Lee] KakaoBank will replace two of its board members and increase the number of outside directors at its Annual General Meeting (AGM) later this month.


On Wednesday, KakaoBank announced that it would propose the election of new directors at the AGM, scheduled for March 26.


According to KakaoBank, Hwang In-san and Choi Su-yeol, both outside directors, will resign following the expiration of their terms. Jin Woong-seop, the chairman of the board, is expected to be re-elected at the upcoming AGM.


The new candidates for outside directors include Kim Jeong-ki, former vice president of Hana Bank and head of its marketing group, Yu Ho-seok, former CFO of Samsung Life Insurance and head of its management division, and Eom Sang-seop, a partner attorney at Law Firm Jipyong.


Following the changes, KakaoBank's board will be restructured to consist of 2 inside directors (CEO Yoon Ho-young and Deputy CEO Kim Kwang-ok), 1 non-executive director (Kwon Dae-yeol), and 6 outside directors, increasing the total to 9 members. This change aims to enhance the board's professionalism by expanding the number of outside directors from 5 to 6.


Yu Ho-seok, one of the outside director candidates, has a strong background in the financial sector. He started his career at Samsung C&T, later served as an executive at Samsung Life Insurance's asset management division, and ultimately became the CFO. He was also the first head of the Financial Competitiveness Enhancement Task Force at Samsung Group, where he worked to create synergies that would strengthen the competitiveness of the group's financial companies.
